ARTICLE FIVE: OFFICERS
Section 1: Designation of Officers
1.1 The Officers of the Association shall be a President; Vice-President and the Immediate Past President.
Section 2: Qualifications
2.1 An Officer of the Association at the time of their nomination, election or appointment, and continuously for at least two years immediately prior thereto must be a Full Member of the Association. The Executive Committee shall determine all questions of eligibility of candidates for office immediately following the submission of the nomination for office by a candidate.
Section 3: Term of Office of President
3.1 The President shall be elected at the Annual General Meeting of the Association and shall be elected to serve for a period of two years.
Section 4: Term of Office of Other Officers
4.1 The Vice President and the Immediate Past President will also be eligible to serve for a term of two years, but to deal with and unforeseen circumstances, may serve longer and until a successor is elected and installed. The Vice-President will normally become the next President and the Immediate Past President will be the outgoing President. The Immediate Past President may continue past a two year period if the normal passage of the Office of president is interrupted.
Section 5: Successor to the President
5.1 If for whatever reason the President is not able to complete the normal two-year term of office, the Vice-President may become the President immediately and, shall serve for the remainder of the term of his/her immediate predecessor. After which he/she shall be eligible to complete their original planned period of two years. Should the Vice- President, in stepping into the role of President, feel that the total period in office would be too long, the Executive Committee may, reach an agreement with the Vice President as to what the total period as President will be.
Section 6: Nominations
6.1 It shall be the responsibility of the Executive Committee bi-annually at the Annual General Meeting to nominate at least one candidate for each office required to be filled by election. Such nominations shall be restricted to members qualified under Section 2 of this Article who have filed with the Executive Director, at least 21 days before the date of the Annual General Meeting, a notice of intention to be a candidate for a particular office.
6.2 In the event that no candidate is available for a particular office in accordance with the aforesaid procedure, the Executive Committee may determine how the offices are to be filled.
Section 7: Election
7.1 All nominations shall be voted upon and in the event of a tie for any particular office [the Chairman of the Meeting shall have a casting vote].
Section 8: The President
8.1 The President shall act as Chair of the Executive Committee and shall preside at Annual General Meetings of the Association. The President shall be specifically responsible for the strategy of the Association, regulation and supervision of the financial management and the administration of the Association and for liaison with other organisations and shall perform such other duties as may from time to time be assigned to him/her by the Executive Committee or by resolution of the Association. The President shall also represent the Association at any international meetings as agreed by the Executive Committee.
Section 9: Past and Vice Presidents
9.1 It shall be the role of the Immediate Past President to perform all the duties of the President during the absence of the President. They shall also be specifically responsible recruitment for the annual British APCO Conference and Exhibition; and shall perform such other duties as may from time to time be assigned to him/her by the Executive Committee or by resolution of the Association.
9.2 The Vice President shall also be able to perform all the duties of the President during the absence of the President and shall also be specifically responsible for the supervision of the promotion of the Association, including the website and for liaison with the publishers of the Journal and any other publications, and shall perform such other duties as may from time to time be assigned to him/her by the Executive Committee or by resolution of the Association.
Section 10: Compensation of Officers
10.1 Subject always to the provisions of Section 3.2 of Article 4 no officer of the Association, other than the Executive Director, staff and other approved contractors may receive compensation except for actual expenses incurred in the performance of their duties and for which the Executive Committee has made budgetary provision.
ARTICLE SIX: EXECUTIVE DIRECTOR
Section 1 Executive Director
1.1 There shall be a non-elected Executive Director of the Association who shall be appointed by the Executive Committee.
Section 2 Supervision
2.1 The Executive Director is directly responsible to the Executive Committee to whom he/she shall report on all matters affecting the Association.
Section 3: Removal from Office
3.1 The Executive Director can only be removed from office by the Executive Committee.
Section 5: Duties and Authority
5.1 The duties and authority of the Executive Director shall be those as laid down in the current job specification.
ARTICLE SEVEN: SPECIAL FUNDS, GRANTS, CONTRIBUTIONS AND AWARDS
Section 1: Receipt of Funds
1.1 The Association may accept donations. Such funds shall be spent in accordance with the terms of the donor as agreed upon by the Association.
Section 2: Administration of Funds
2.1 All funds granted to the Association shall be under the administrative supervision of the Executive Committee.
Section 3: Application
3.1 The President shall have authority to make recommendations to the Executive Committee for the allocation grants and contributions, where it is the interests of the Association and in furtherance if its aims.
3.2 No application shall be made to, or contributions received from, those motivated by personal benefit or privilege.
3.3 Applications and contributions are subject to majority vote approval of the Executive Committee.
Section 4: Research Projects
4.1 The Executive Committee can approve applications for grant funded projects.
4.2 The Association may make awards at all levels of the Association as evidence of appreciation to those who have performed outstandingly in the field of public safety and related communications and information technology.
ARTICLE EIGHT: FISCAL YEAR
Section 1: Fiscal Year
8.1 The fiscal year of the Association shall be determined by the Executive Committee.
Section 2: Annual Budget
8.2 The annual budget of the Association shall be adopted in accordance with the rules established by the Executive Committee and approved by its membership.
ARTICLE NINE: ADMINISTRATION
Section 1: Policy
1.1 The Association shall maintain suitable policy guidance so as to administer the day to day activities of the Association and to provide succession planning. Policy guidance shall be maintained together with the Constitution and shall be reviewed annually by the Executive Committee. This document is entitled an ‘Administrative Police and Procedures Manual’. The Executive Committee will also review the Constitution at periods not exceeding three years.
ARTICLE TEN: LEGAL ADVISER AND ACCOUNTANT
Section 1: Regulatory
1.1 The Executive Committee shall retain a legal adviser and accountant who shall be employed to provide advice and assistance to the Association.
ARTICLE ELEVEN: Marketing and Communications
Section 1: Printed Material
1.1 Printed material may be printed and distributed at such intervals as shall be deemed appropriate to further the aims for the purpose of the Association.
Section 2: Journal
2.1 The primary publication of the Association shall be the Journal. It shall be published at such intervals as agreed by the Executive Committee.
